Terms of Service

These terms are a template starting point and should be reviewed by a qualified solicitor before launch. References to the operating entity in square brackets are placeholders to be completed.

These Terms of Service ("Terms") govern your access to and use of Gridly (the "Service"), operated by [Gridly Ltd], London, United Kingdom ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

Gridly is a hosted database–spreadsheet application that lets you create workspaces, tables, and records, and access them through a web app and a REST API. We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate registration details, keep your password secure, and are responsible for activity under your account. You must be at least 16 years old and capable of forming a binding contract. One person or organisation per account unless agreed otherwise.

Your use of the Service must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate it or that create risk or legal exposure for us or others.

5. Your content

You retain all rights to the data and content you put into Gridly ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and support the Service. You are responsible for Your Content and for having the rights to use it.

6. Availability

We work to keep the Service available but provide it "as is" and "as available", without warranties of any kind to the extent permitted by law. We may perform maintenance and may modify or discontinue features.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law. On termination we may delete Your Content after a reasonable period; you can export beforehand.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill. Our total liability for any claim is limited to the amounts you paid us in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Changes

We may update these Terms. We will post the updated version with a new date and, for material changes, give reasonable notice. Continued use after changes means you accept them.

10. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
